1. Acceptance of terms

These Terms of Service (the “Terms”) govern your access to and use of the website located at northlinesystems.ca (the Website”), and any content, forms, or services made available through it. Northline Systems (“Northline,” “we, ” “us,” or “our”) is the operator of the Website.

By accessing the Website or submitting information through it, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Website.

These Terms govern your use of the Website only. Any services we deliver to a client (website design, GEO, Generative Engine Optimization, Google Business Profile management, review and referral systems, automations, or any combination of these) are governed by a separate written service agreement between you and Northline. Where the two conflict, the signed service agreement controls.

2. About Northline

Northline Systems is a done-for-you website, marketing, and lead generation partner for contractors and home service businesses across Canada. We operate from Ontario, Canada.

3. Eligibility

You must be at least the age of majority in your province or territory of residence (18 in Ontario) to use the Website or submit a form. By submitting information through the Website, you represent and warrant that:

  • You are at least 18 years old;
  • The information you provide is accurate, current, and complete; and
  • If you are submitting on behalf of a business, you have the authority to bind that business to these Terms.

4. Scope of these terms

The Website provides general information about Northline’s services and is a channel through which you can request a free audit, consultation, or proposal. Nothing on the Website constitutes a binding offer by Northline to deliver any service, and your submission of a form does not create a service relationship. A service relationship is formed only when we both sign a written service agreement.

5. Intellectual property

All content on the Website — including text, graphics, logos, icons, images, software, and the organization and selection of that content — is owned by Northline Systems or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, Northline grants you a limited, non-exclusive, non-transferable, revocable licence to access the Website and view its content for your personal or internal business evaluation. No other rights are granted.

You may not, without our prior written consent:

  • Copy, reproduce, modify, republish, frame, or create derivative works from any part of the Website;
  • Use any Northline trademark, service mark, logo, or trade name, including “Northline Systems” and “Guiding Growth of Local Heroes”;
  • Use the Website’s content to train, fine-tune, or benchmark any machine-learning model or to build a competing product or service; or
  • Use any automated system (robots, spiders, scrapers) to access the Website other than publicly documented search-engine crawlers obeying the Website’s robots.txt.

6. Acceptable use

You agree not to use the Website in any way that is unlawful, harmful, or that could damage, disable, overburden, or impair the Website or interfere with any other party’s use of it. Prohibited conduct includes, but is not limited to:

  • Submitting false, misleading, or fraudulent information through any form;
  • Attempting to bypass our bot protection, rate limiting, or any other security measure;
  • Uploading or transmitting viruses, worms, or any other malicious code;
  • Accessing any non-public area of the Website, its systems, or its networks without authorization;
  • Using the Website to harass, threaten, defame, or otherwise violate the rights of any person;
  • Collecting or harvesting any information about other visitors without their consent; or
  • Using the Website in any manner that violates applicable Canadian, provincial, or foreign law.

7. Your submissions

When you submit information through a form on the Website, you represent that the information is accurate and that you are entitled to provide it. You also consent to the handling of that information as described in our Privacy Policy, and — where you check the applicable consent boxes — you grant Northline express consent to contact you by email, phone, and text about our services, as required by Canada’s Anti-Spam Legislation (CASL).

You may withdraw consent to commercial electronic messages at any time, and every marketing email we send includes a working unsubscribe mechanism. Unsubscribe requests are honoured within ten (10) business days.

If you send us feedback, suggestions, or ideas about the Website or our services (“Feedback”), you grant Northline a non-exclusive, royalty-free, perpetual, worldwide licence to use that Feedback without any obligation of confidentiality, attribution, or compensation.

8. Third-party links

The Website may contain links to third-party websites, products, or services that are not owned or controlled by Northline. We provide these links for convenience only. We do not endorse and are not responsible for the content, policies, or practices of any third party. Your use of any third-party website or service is governed by that third party’s terms and privacy policy.

9. Disclaimers

The Website and its content are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Northline disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and title.

Without limiting the previous paragraph:

  • We do not warrant that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  • We do not warrant that the information on the Website is accurate, complete, reliable, current, or error-free.
  • Any information on the Website about potential marketing results — including lead volume, search engine rankings, Generative Engine visibility, reviews generated, or revenue outcomes — is illustrative only and is not a promise or guarantee of results. Marketing outcomes depend on many factors outside our control, including your business, offer, market, pricing, operations, and competitive environment.
  • Testimonials and case studies reflect individual client experiences and are not a guarantee that you will achieve the same or similar outcomes.

Nothing in these Terms is intended to exclude or limit any warranty or right that cannot be excluded or limited under applicable law, including the Consumer Protection Act, 2002 (Ontario) and any analogous consumer-protection law in the province, state, or country where you reside.

10. Limitation of liability

To the fullest extent permitted by law, in no event will Northline, its officers, directors, employees, or contractors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost goodwill, or loss of data, arising out of or in connection with your use of the Website, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to your use of the Website, whether in contract, tort (including negligence), statute, or otherwise, is limited to the greater of (a) one hundred Canadian dollars (CAD $100), or (b) the total amount you have paid to Northline under a separate service agreement in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for fraud, fraudulent misrepresentation, gross negligence, non-excludable rights under the Consumer Protection Act, 2002 (Ontario), or analogous non-excludable rights in your jurisdiction).

11. Indemnification

You agree to indemnify, defend, and hold harmless Northline, its officers, directors, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms;
  • Your violation of any law or the rights of any third party; or
  • Your misuse of the Website.

12. Privacy

Your privacy matters. Our collection and handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Website, you acknowledge that you have read and understood the Privacy Policy.

13. Electronic communications

When you provide us with your email address or phone number and give the required consents, you agree that we may communicate with you electronically (email, text, phone, and in-platform messages). Electronic communications from Northline satisfy any legal requirement that such communications be in writing. You may withdraw consent to commercial electronic messages at any time, subject to the terms of our Privacy Policy and CASL.

14. Changes and termination

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be announced through a prominent notice on the Website or by email to clients before they take effect. Your continued use of the Website after a change takes effect means you accept the revised Terms.

We may also modify, suspend, or discontinue all or part of the Website at any time, with or without notice, and we may terminate or restrict your access to the Website if you violate these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

15. Governing law and jurisdiction

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.

You agree that any dispute arising out of or in connection with these Terms or your use of the Website will be resolved exclusively in the courts located in the Province of Ontario, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

This Section 15 is subject to any non-excludable rights you have under the laws of your home jurisdiction. Additional terms for users outside Canada are set out in Section 16.

16. Clients outside Canada

Northline operates from Ontario, Canada. Our Website and services primarily serve contractors in Canada, but we also work with clients outside Canada — including the United States — on a case-by-case basis. If you access the Website or engage us from outside Canada, the following additional terms apply to you:

  • You access the Website on your own initiative and are responsible for compliance with the laws that apply where you are.
  • You agree that these Terms are governed by the laws of Ontario and Canada as set out in Section 15, and that any dispute will be resolved in the courts of Ontario, subject to any non-excludable rights you have under the mandatory consumer-protection or other laws of your home jurisdiction.
  • If you are a US resident, our Privacy Policy describes the rights you have under the California Consumer Privacy Act (CCPA) and other US state privacy laws, and how we comply with the US Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act when we contact you by phone, text, or email.
  • If you give us a US phone number and check the marketing consent box, you provide prior express written consent under the TCPA to receive marketing calls and text messages at that number, including through automated dialing systems or pre-recorded voices. Consent is not a condition of any purchase. You can opt out of texts by replying STOP and out of calls or emails by telling us or using the unsubscribe link.
  • Where we actually deliver services to a US-based client, the signed service agreement governs the commercial relationship and may specify a different governing law, venue, or dispute resolution process for that engagement. Where the signed service agreement conflicts with these Terms, the service agreement controls.
  • You represent that you are not on any applicable sanctions, embargo, or denied-parties list, and that your use of the Website and our services complies with applicable export controls and trade-sanctions laws.

If any provision of these Terms is unenforceable in your jurisdiction, the rest remains in effect as set out in Section 17 (Severability).

17. General

  • Entire agreement. These Terms, together with our Privacy Policy and any written service agreement between you and Northline, are the entire agreement between you and Northline about the Website and supersede any prior agreements about the same subject matter.
  • Severability. If any part of these Terms is held to be invalid or unenforceable, the rest remains in full force and effect.
  • Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
  • Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
  • Language. The parties confirm that they have requested these Terms and all related documents be drafted in English. Les parties confirment avoir exigé que ces conditions et tous les documents connexes soient rédigés en anglais.
